Hotel & Licensed Premises

Hotel & Licensed Premises

A transaction involving the sale or purchase of a hotel, public house, restaurant or other property of a similar nature is very like other property transactions but there are other considerations and matters to be addressed. This is where our Hotel & Leisure Services Team can help. We bring together our expertise in property, business, licensing and employment to help clients with the transaction in question. We work together with you, and your other advisers, to move the matter towards a satisfactory completion for all parties using experience gained from a number of transactions involving hotels, restaurants, pubs and other leisure business properties.

We will talk you through the transaction in clear and plain English.

Property

Gotelee’s property team offers a wealth of property knowledge to hotel or licensed premises transactions. Our team provides advice to clients on the full range of property and finance issues.  We will investigate the title, whether freehold or leasehold and raise specific enquiries to provide you with a comprehensive report on the property.

Company/commercial

Our company commercial team understand that buying or selling a business is more than just transferring shares or assets.  If you are the buyer you will want assurances that the business is worth the purchase price.  If you are the seller you will want to limit the chances of any clawback of the purchase price.  Whether you are the buyer or the seller you will want to make sure everyone understands what is being sold, your rights and your obligations.

We advise in relation to:

  • Sale and purchase agreements
  • Share sales
  • Asset sales
  • Preliminary business enquiries
  • Non-compete and post sale restrictions

Employment

Our employment team bring knowledge and expertise in the complex area of employment.  We can advise clients, both old and new on the complexities relevant to their particular organisation including:

  • Compliance with employment legislation
  • Disciplinary and grievance procedures
  • Employment issues arising the transfer of functions
  • Handling redundancies
  • Recruitment and engagement of migrant workers
  • Sickness Absence and Disability
  • Tribunal representation
  • Working time issues

Licensing

We can offer a bespoke service from a qualified solicitor to both holders of licences and those who wish to apply for them. We can negotiate on your behalf with the police, the licensing authority and other responsible authorities and represent you at licensing hearings if required.
